CLIENT AGREEMENT FOR ADVANCE REGISTRATION OF SOMATIC CELLS CRYOPRESERVATION
FOR HUMAN CLONING IN FUTURE

I/We, known as the client, on behalf of myself/ourselves and my/our loved one(s), engage Endorphins Healthcare & Research Private Limited, a company incorporated under the Companies Act, 2013 (India), that the company is limited by shares and having CIN (Company Identification Number) U24230MP2016PTC035275, to register (Enroll) to collect, process, test, store, retrieve and expand somatic cells & collection, process, test, store, retrieve and expansion of somatic cells will be done after approval of regulatory agencies/agency for long term preservation of somatic cells for possible human cloning in future (Future human cloning), on following term and conditions.

I. REGULATORY

This is clients advanced registration only for preservation of somatic cells.
Somatic cells will be collected, processed, tested, stored, retrieved and expanded only after approval of Indian regulatory agency/agencies for long term (several hundreds of years) preservation in the hope of possible human cloning in future.
Human cloning may be done in future following clients or nominee’s legal consent by preserved somatic cells only if human reproductive cloning becomes absolutely safe through advancement of technology and ethics and government law permits.
Endorphins Healthcare & Research Private Limited will not perform or attempt to human reproductive cloning by creation of a human zygote by SCNT (Somatic Cell Nuclear Transfer) or any other method. Research if done on primates or on human will be restricted to 14 days of fertilization or formation of primitive streak, whichever is earlier (National Guideline for Stem Cell Research, 2017, India) after approval of concern regulatory authority.
Endorphins Healthcare & Research Private Limited shall extend full co-operation to regulatory authorities and disclose information as may be required.
Endorphins Healthcare & Research Private Limited will follow all regulations and guidelines by Indian regulatory agencies irrespective of other countries laws or guidelines.

II. LIMITS OF LIABILITY

This is clients advanced registration only for preservation of somatic cells. Due to the uncertain nature of the current and future laws and business strategy of company, company may not get the approval from regulatory agency/agencies or may not apply to get the approval from regulatory agency/agencies for preservation of somatic cells. Thereafter in the said matter client(s) registration will be automatically cancelled and registration fee paid by client if any will not be refunded.
Company does not warrant or represent, assertion, express or implied that human cloning will be absolutely safe in future or any significant probability of safety and government law will permit the human cloning even after establishments of safety of human cloning. The probability of safety and permission by government laws for human cloning remains unknown.
Company does not warrant that preserved somatic cells human cloning will be done by company in future if human cloning become absolutely safe through advancement of technology and ethics and government law permits.
Company proposed cryopreservation of somatic cells for several hundreds of years however may use alternate method of preservation which is more effective or more economical. These alternative methods may include (but are not limited to) storage at higher temperatures than normally employed, freeze-drying, or preservation by chemical means.
Client may not be able to register or company may cancel the already done registration of client due to variation in laws and custom country to country.

III. CONFIDENTIALITY

Endorphins Healthcare & Research Private Limited acknowledges the confidential nature of the information provided to it and agrees to use its best efforts to maintain the confidentiality of the information except as required by law or as permitted by this Agreement.
However we can share some or all of the information you provide with our business partners in order to facilitate the services.
All confidential information and personal identifiable information shall be kept on secure database.

IV. PAYMENT TERMS IF PAID FOR REGISTRATION

Using the online payment facilities on our website indicates that you accept these terms of payment. All online payments are subject to these mentioned conditions.
We cannot accept liability for payments being recorded on the wrong account if you supply inaccurate information, but will make every effort to reallocate any such payments if they arise.
We cannot accept liability if payment is refused or declined by your credit/debit card supplier or any other electronic mean for any reason.
If declines payment, the company is under no obligation to bring this fact to your attention. You should check with your bank/credit/debit card/any other electronic mean supplier that payment has been deducted from your account.
All electronic transactions are carried out through a secured payment gateway.
Registration may be free of cost or may be chargeable and may vary according to country.
Due to the uncertain nature of the current and future laws and business strategy of company, company may not get the approval from regulatory agency/agencies or may not apply to get the approval from regulatory agency/agencies for preservation of somatic cells. Thereafter in the said matter client registration will be automatically cancelled and registration fee paid by client if any will not be refunded.

V. CANCELLATION POLICY

You may cancel the registration if do not like company’s preservation policy or cost for preservation services or any other reason.
No refunds will be given for cancellations of registration for any reason.
Cancellation requests can send through email. Cancellation requests must identify the name, email address and registration number.

VI. DEFINITIONS

Agreement: This agreement for registration of somatic cells cryopreservation.
Ancestor(s): A related person who lived a long time ago i.e. (but are not limited to) parent, grandparent, great-grandparent, great-great-grandparent, and so forth.
Client(s): Who wants to preserve his/her own or /and his/her loved one(s) somatic cells. His/her loved one(s) may be live healthy adult, live healthy children, live healthy newborn, critically ill adult, critically ill children, critically ill newborn, died adult, died children, died new born, died embryo / fetus or ancestor
Nominee: A nominated person legally nominated by live client for ownership of his/her or his/her loved one(s) preserved cells.
Company: Endorphins Healthcare & Research Private Limited (Endorphins Healthcare & Research Pvt. Ltd.), a company incorporated under the Companies Act, 2013 of India, that the company is limited by shares and having its CIN (Company Identification Number) U24230MP2016PTC035275.
Cryopreservation : The procedure of preserving the human somatic cells into storage at temperatures of -150°C or lower.
Human cloning in future (future human cloning): Means human cloning (or human reproductive cloning) in future when human cloning becomes absolutely safe through advancement of technology and ethics and government law permits for human cloning.
Loved one(s): A close friend or family member or any human being for whom a person has feelings of endearment. Loved one(s) may be living or died adult, children, newborn, embryo / fetus or ancestor.
Primitive streak: A collection of cells, which appears at about 14 days after fertilization from which the foetal body plan develops.
SCNT (Somatic Cell Nuclear Transfer): Somatic cell nuclear transfer is a technique for cloning. Technique involves replacing an oocyte’s nucleus with the nucleus of the cell to be cloned and then activating oocyte’s further development without fertilization. The oocyte genetically reprograms the transferred nucleus, enabling it to direct development of a whole new organism.
Somatic cells: Cells of the body other than gamete.

We keep updated information of laws to human cloning and related research in different countries to the best of our knowledge but it is the responsibility of the client to exercise the updated laws in respective country, however it will be governed by Indian regulatory agencies.

Proceeding for registration means client hereby acknowledges and agree to the terms and conditions of this agreement.
